SHIPPING & RETURNS

In these Terms & Conditions, unless the context indicates otherwise:

  • “we”, “us”, “our” refer to CPR CLANCY®.

  • “you”, “your” refer to the buyer, prospective buyer, or recipient of an offer for goods from us.

  • “goods” means any products supplied, offered, or sold by us.

1. General

Unless we agree otherwise in writing, all sales and supplies of goods by CPR CLANCY® are governed exclusively by these Terms & Conditions as they exist at the time of the transaction. Any terms proposed by you, whether included in an order, acceptance, or other communication, are expressly excluded.

2. Contract Formation

No contract is formed unless and until CPR CLANCY® accepts your order. Orders must include all information reasonably required for us to process and fulfil them.

3. Product Information

Any descriptions, images, specifications, or illustrations of goods provided by us are for identification and general guidance only. They do not form part of a contractual description. Product details and performance figures may be approximate and are not guaranteed unless expressly confirmed by us in writing.

4. Offers, Quotes & Tenders

Unless stated otherwise in writing, all offers, quotations, and tenders issued by CPR CLANCY® remain valid for 30 days from the date of issue. We reserve the right to withdraw or amend them at any time prior to acceptance. Prices may change without notice unless fixed in writing.

5. Pricing & Taxes

Prices charged will be those set out in a current and valid quotation, or otherwise our price list in effect at the time your order is received. GST is included unless the goods are GST-exempt. Any additional taxes, duties, or charges are excluded unless stated otherwise. Any unforeseen costs incurred due to circumstances outside our control may be passed on to you.

6. Payment

Payment is due in full on delivery unless we have approved credit arrangements in writing. Where credit is granted, payment must be made within 30 days of the invoice date. We reserve the right to withdraw credit approval or require earlier payment at any time. Export orders require an irrevocable letter of credit acceptable to us. You may not offset amounts owed to us against any claim you may have.

If payment is not made when due, we may:

  • Charge interest at 2% above our bank’s highest overdraft rate;

  • Suspend or cease supply of goods; and

  • Recover all reasonable costs associated with debt collection.

7. Delivery

Goods are supplied ex-works from our premises. If freight is arranged by us, freight charges will be payable by you unless otherwise agreed. Delivery times are estimates only and delays do not give rise to cancellation rights or claims. We may deliver goods in separate instalments, each treated as a separate contract.

8. Events Beyond Our Control

CPR CLANCY® is not liable for delays or failure to perform caused by events outside our reasonable control, including natural disasters, industrial disputes, supply shortages, transport delays, government actions, or similar events. You remain obligated to accept delivery once performance resumes.

9. Risk

Risk in the goods passes to you when the goods are made available for collection at our premises or leave our premises, whichever occurs first, regardless of who arranges transport.

10. Ownership of Goods

Ownership of the goods remains with CPR CLANCY® until payment in full has been received for those goods and any associated consignment.

Until payment is complete:

  • You hold the goods as bailee for us;

  • Goods must be stored separately and clearly identified as our property;

  • We may enter your premises to recover the goods; and

  • You must not sell or dispose of the goods without our written consent.

If resale is permitted, sale proceeds must be held on trust for CPR CLANCY® and paid to us immediately upon receipt.

11. Packaging

Prices include standard packaging where applicable. Any special, custom, or export packaging required will be charged separately.

12. Order Changes or Cancellation

If you cancel, vary, or suspend an order, you agree to compensate CPR CLANCY® for all losses and costs incurred, including loss of anticipated profit.

13. Returns

Returns are only accepted with prior written approval and must be returned in their original condition with freight prepaid. Approved returns may incur a restocking fee. We reserve the right to refuse returns where freight has not been prepaid.

14. Entire Agreement

These Terms & Conditions represent the entire agreement between you and CPR CLANCY®, unless otherwise agreed in writing. All other warranties, representations, or conditions are excluded to the fullest extent permitted by law.

15. Claims & Liability

Nothing in these Terms limits rights that cannot be excluded under applicable law.

Claims must be submitted in writing:

  • Within 7 days of delivery for Australian or New Zealand sales; or

  • Within 21 days of arrival at the destination port for export sales.

Where liability cannot be excluded, our liability is limited (at our option) to refund, replacement, repair, or payment of repair or replacement costs. We are not liable for indirect or consequential loss, including loss of profits or revenue.

16. Errors & Corrections

We reserve the right to correct any clerical or administrative errors in documents relating to the sale of goods.

17. Compliance

You are responsible for obtaining all licences, permits, and approvals required to purchase and use the goods.

18. Subcontracting

We may subcontract any part of our obligations under these Terms.

19. Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other rights.

20. Notices

All notices to CPR CLANCY® must be sent by prepaid registered mail to the address shown on our invoice and will take effect only upon receipt.

21. Disclaimer

CPR CLANCY® does not act as a consultant. Any advice or information provided is general in nature and relied upon entirely at your own risk.

22. Termination

We may suspend or terminate supply immediately if you default, become insolvent, or breach any agreement with us. We are not liable for any losses resulting from such action.

23. Governing Law

These Terms are governed by the laws of Victoria, Australia, excluding the UN Convention on Contracts for the International Sale of Goods. You submit to the exclusive jurisdiction of the courts of Victoria. Certain disputes may be referred to arbitration in Melbourne under UNCITRAL Rules.
